Matching directors and officers coverage: how the comparison works

QUICK ANSWER

Directors and officers coverage defends the people who run a company, nonprofit or association, and the entity itself, against claims about their decisions: employment disputes, disputes with owners or members, regulatory actions, lender and investor claims. To quote it, carriers want the financials, the board, the employee count and any litigation history. CoverMatch sends one application to every eligible carrier and shows the retention, the entity coverage and the exclusions side by side.

CoverMatch Two quotes include employment practices inside the D&O limit; one carries it separately. Your board asked for the separate limit.
01 / WHAT UNDERWRITERS ASK
  • Entity type: private company, nonprofit or community association, and the state of formation
  • Latest financial statements or the budget, and reserves for an association
  • Board size, officers and whether any directors are independent
  • Employee count and whether any employment claims have been made
  • Pending or threatened litigation, regulatory inquiries or special assessments
  • For nonprofits: funding sources and any government contracts
02 / WHAT MOVES THE PRICE
  • Financial conditionA thin balance sheet or a deficit budget raises the chance of creditor and member claims.
  • Employee countEmployment practices claims are the most frequent D&O claim; more staff, more exposure.
  • Industry and entity typeAssociations with assessments, nonprofits with vulnerable clients and companies with outside investors are rated differently.
  • Claims historyPrior suits or regulatory matters move the quote and may be excluded going forward.
  • Retention and limitA higher retention lowers the premium; lenders and funders often set the limit.
Direction only — the carriers' quotes carry the figures.
03 / HAVE READY
  • Financial statements or the current budget and reserve study
  • Bylaws or operating agreement and a list of directors and officers
  • Employee count and the handbook if you have one
  • Any demand letters, complaints or regulatory correspondence from the last five years
  • Lender, investor or grant agreements that name an insurance requirement

What directors and officers coverage responds to

A claim against the people who govern an organisation, or against the organisation itself, for a wrongful act in managing it: a decision, a statement, a breach of duty, a failure to act. For a private company that is usually a dispute with investors, lenders, competitors or employees; for a nonprofit, claims from funders, members, clients or employees; for a community association, disputes with owners over enforcement, assessments and discrimination. The policy pays defence costs and settlements, usually inside one limit.

How CoverMatch compares the quotes

Every quote is lined up on the same rows: limit and retention, which sides are covered, whether employment practices is inside or separate, the prior-and-pending date, the insured-versus-insured exclusion and its carve-backs, defence inside or outside the limit, and the extended reporting option. The AI summary names the factual differences only; a licensed agent is one tap away for what they mean to your board.

What to watch for

A retention that is larger than it looks for an organisation with small reserves; employment claims sharing the board's limit; a prior-and-pending date set at the policy start when the organisation has existed for years; and personal-profit or regulatory exclusions worded wider than the market. The comparison shows each; the choice is yours.

Questions people actually ask

Does D&O cover the organisation or only the people?

Most policies for small entities cover both: Side A for the individuals when the entity cannot indemnify them, Side B for the entity's indemnification and Side C for claims against the entity itself. The comparison shows which sides each quote includes.

Is employment practices liability part of D&O?

Often for nonprofits and small companies it is packaged in, sometimes with a shared limit. A separate EPLI limit means a wrongful-termination claim does not use up the board's protection; the comparison labels which structure each carrier offers.

Why do board members ask about D&O before serving?

Because directors can be personally named in suits over the organisation's decisions, and the policy is what pays their defence. Volunteer boards in particular will not serve without it.

What is usually excluded?

Fraud and personal profit (after adjudication), bodily injury and property damage (covered by general liability), prior and pending litigation, and insured-versus-insured disputes with carve-backs. The policy explainer in the wallet reads the exclusions on every quote.
